1. Introduction

Welcome to Samagam Connect, having its registered address at Flat No-106, Naik Nagar, Beed Bypass Road, Deolai, Chhatrapati Sambhajinagar, Maharashtra – 431001, India (“Samagam Connect”, “Company”, “we”, “our”, or “us”).

These Terms & Conditions (“Terms”) govern your access to and use of our website, software platforms, communication tools, WhatsApp Business API services, Rich Communication Services (RCS) messaging solutions, and related digital services (collectively referred to as the “Services”).

By accessing, registering for, or using our Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use our Services.

2. Definitions

For the purpose of these Terms:

  • “User” / “Client” / “You” refers to any individual, business, or entity accessing or using the Services.
  • “Platform” refers to Samagam Connect’s messaging software, dashboards, APIs, and related infrastructure.
  • “WhatsApp Official API” refers to messaging services provided via Meta’s authorized Business Platform.
  • “RCS” refers to Rich Communication Services messaging enabled through telecom operators or aggregators.
  • “End Customer” refers to recipients of messages sent by Users through our Platform.
  • “Applicable Laws” refers to laws in force within India, including but not limited to the Information Technology Act, 2000 and related rules.

3. Acceptance of Terms

By creating an account, accessing our dashboard, or using any Services offered by Samagam Connect, you confirm that:

  • You are legally capable of entering into binding agreements.
  • You will comply with all applicable Indian laws.
  • You will comply with Meta Business Policies, WhatsApp Business Terms, RCS guidelines, and telecom regulations.

Your continued use of the Services constitutes acceptance of any updated Terms.

4. Description of Services

Samagam Connect provides:

  • WhatsApp Business API integration
  • RCS messaging solutions
  • Bulk messaging services
  • Customer engagement automation
  • API-based communication tools
  • Notification and transactional messaging services

We act as a technology intermediary and do not control the content of messages sent by Users.

5. Eligibility

You must:

  • Be at least 18 years old.
  • Be legally authorized to represent your business.
  • Use the Services only for lawful business communication.

We reserve the right to refuse service to anyone found violating policies or laws.

6. Account Registration

To access certain Services:

  • You must provide accurate business details.
  • You must provide valid contact information including email and phone number.
  • You must maintain confidentiality of login credentials.

You are fully responsible for activities conducted under your account.

Samagam Connect may suspend accounts providing false information or engaging in prohibited activities.

7. User Responsibilities

You agree that you shall NOT:

  • Send spam, unsolicited, or promotional messages without consent.
  • Send illegal, abusive, defamatory, obscene, or misleading content.
  • Violate TRAI, IT Act, or telecom regulations.
  • Use purchased contact lists without proper opt-in.
  • Attempt to bypass WhatsApp or RCS compliance systems.

You must maintain proper opt-in records for all recipients.

You are solely responsible for message content and recipient consent.

8. Payment & Billing Terms

  • Fees are charged based on usage, subscription plans, or service agreements.
  • Payments must be made in advance unless otherwise agreed.
  • All payments are non-refundable unless specified.
  • Taxes including GST shall apply as per Indian law.

Failure to make timely payment may result in suspension of Services.

9. Subscription Renewal & Termination

Subscriptions may renew automatically unless canceled before the renewal date.

Samagam Connect reserves the right to:

  • Suspend or terminate accounts violating policies.
  • Terminate services for non-payment.
  • Suspend access due to regulatory or Meta compliance issues.

Upon termination, access to the platform may be revoked immediately.

10. Use of WhatsApp Official API & RCS

Users acknowledge:

  • WhatsApp services are governed by Meta’s Business Terms and Commerce Policies.
  • RCS services are governed by telecom operators and regulatory frameworks.

Samagam Connect is not responsible for:

  • Template rejections
  • Message delivery failures due to carrier filtering
  • WhatsApp account bans imposed by Meta

Users must strictly follow messaging guidelines and consent policies.

11. Message Delivery & Compliance Policy

Message delivery depends on:

  • Network availability
  • Telecom regulations
  • Meta approval systems
  • User compliance

Samagam Connect does not guarantee 100% delivery rates.

We may monitor messaging patterns to ensure compliance with anti-spam laws.

12. Intellectual Property Rights

All intellectual property including:

  • Software
  • Platform design
  • Branding
  • Documentation

remains the exclusive property of Samagam Connect.

Users are granted a limited, non-transferable license to use the Services.

13. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business data
  • Customer information
  • Pricing agreements
  • Technical configurations

Confidential information shall not be disclosed except as required by law.

14. Disclaimer of Warranties

Services are provided on an “as-is” and “as-available” basis.

Samagam Connect makes no warranties regarding:

  • Continuous availability
  • Error-free operations
  • Guaranteed message delivery
  • Business outcomes

15. Limitation of Liability

To the maximum extent permitted under Indian law:

Samagam Connect shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits
  • Business interruption
  • Regulatory penalties incurred by Users

Total liability shall not exceed the fees paid by the User in the preceding 3 months.

16. Indemnification

You agree to indemnify and hold harmless Samagam Connect from:

  • Claims arising from unlawful messaging
  • Regulatory violations
  • Third-party complaints
  • Data misuse

17. Governing Law (India)

These Terms shall be governed by the laws of India.

Courts located in Chhatrapati Sambhajinagar, Maharashtra shall have exclusive jurisdiction.

18. Changes to Terms

We may update these Terms from time to time.

Revised Terms will be posted on our website.

Continued use of Services indicates acceptance of updated Terms.
